Governing Board
What is the role of the Governing Board?
The main responsibility of the Governing Board is to represent the Stewards of the congregation. Stewards are those who are the members of the Body of Christ in this place and who, in faith, consciously invest themselves and their resources in order to enhance and expand the spread of the Gospel through the congregation’s mission and ministry. The Board recognizes that no individual or group is the sole steward of the congregation. The final authority/power remains with the members of the congregation.

The Board recognizes that no individual or group is the sole steward of the congregation. The final authority/power remains with the members of the congregation.
The following items are a high-level overview of the role of the Governing Board in Policy Based Governance. Please see the policy manual for additional details:
- Policy-based governance is based on the same principles of governance that our federal government is guided by in its role.
- Legislative Authority:
- We use our legislative authority to make policy that will empower people to act within the respective ministry roles.
- Policy gives definition to the scope of a ministry’s or person’s role and frees them to act within the scope of their role.
- Executive Authority:
- The Governing Board seeks to establish the mission and vision with the help of the stewards and a financial plan to accomplish those things while living within our means.
- Judicial Authority:
- The Governing Board (GB) oversees the mission, vision, plans, as well as the budget process on behalf of the congregation to ensure that what actions take place are consistent with the mission, vision, plans, and Governing Board policies as well as an approved expenditure in the budget. We see that what the congregation approves is what is being done in order to “live within our means.”
- Key Point 1: The Senior Pastor, staff, and ministries pursue the vision and mission through operational actions and Ministry Action Plans (MAPs). The Senior Pastor, staff, and ministries take the action to achieve the vision, mission, and goals all within the policy guidelines set forth by the Governing Board.
- Key Point 2: The Governing Board is not the action takers to fulfill the vision and mission. The GB takes action to execute the Boards role to provide policy oversight, monitor compliance, adjust strategic focus, vision, and mission with stewards input, call congregational meetings, establish and present the annual budget, etc.

Who is on the 2024 Governing Board?
Terms of Service:
A term of service for a Board Member is for three years, with elections being held at the annual Voters meeting each November to fill the 2 or 3 positions that are open. Board Members may not serve more than two consecutive elected terms and if appointed to fill a vacancy, may not stand for re-election if another term would extend their service to more than seven years.
Governing Board Meeting Minutes:
As part of the Governing Board’s responsibility to keep the Congregation informed of all important actions and developments that will impact our ministry, the official minutes from the meetings are made available through the main office upon request.
Voters’ Meeting:
Our Annual Voters Meeting is held every November. All Voting Members of Holy Cross Lutheran Church are welcome and encouraged to attend. As necessary, Special Voters’ Meetings are called by the Governing Board. At these meetings, the Governing Board and Senior Pastor bring to the Voters information, updates, and action items for the Congregation.
